Terms of Service

Effective date: May 12, 2026

1. Agreement

By creating an account or using any part of the NightlySite service (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. “NightlySite,” “we,” “us,” or “our” refers to the operator of nightlysite.com.

2. Description of Service

NightlySite automatically creates and maintains a public website for your business by syncing data from your Google Business Profile on a nightly schedule. Your site is hosted on a NightlySite subdomain (e.g., yourname.nightlysite.com) and optionally on a custom domain you provide.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or any business entity you represent. By using the Service, you represent that these conditions are met.

4. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must provide accurate registration information and keep it current.
  • You must notify us immediately at [email protected] if you believe your account has been compromised.

5. Google Business Profile Data

The Service retrieves publicly available information from your Google Business Profile via the Google Places API. You represent that you are the authorized owner or manager of the Google Business Profile associated with your account. NightlySite is not affiliated with or endorsed by Google LLC. Business information is provided “as-is” from the Google Places API and may not always be accurate or up to date.

6. Payments and Subscriptions

  • Subscription fees are billed monthly or annually in advance, as selected during sign-up.
  • All payments are processed by Stripe. By providing payment information, you agree to Stripe's Terms of Service.
  • Subscriptions automatically renew unless cancelled before the renewal date.
  • We do not offer refunds for partial billing periods. If you cancel, you retain access until the end of your paid period.
  • We reserve the right to change pricing with 30 days' advance notice to existing subscribers.

7. Acceptable Use

You may not use the Service to:

  • Impersonate any person or business you do not represent.
  • Post or publish content that is illegal, defamatory, harassing, or infringes any third party's intellectual property rights.
  • Attempt to gain unauthorized access to any system or data.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service for any unlawful purpose.

We reserve the right to suspend or terminate accounts that violate these rules.

8. Intellectual Property

NightlySite and its original content, features, and functionality are and will remain the exclusive property of NightlySite. The website generated for your business uses your business data; you retain ownership of that underlying business information. You grant NightlySite a limited license to store, process, and display your business data solely for the purpose of operating the Service.

9. Uptime and Service Availability

We aim for high availability but do not guarantee uninterrupted access to the Service. Scheduled maintenance, third-party outages (AWS, Google, Stripe), or other events outside our control may cause temporary unavailability. NightlySite is not liable for any losses resulting from downtime.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or that defects will be corrected.

11. Limitation of Liability

To the fullest extent permitted by law, NightlySite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or relating to your use of the Service. Our total aggregate liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Termination

You may cancel your account at any time from your dashboard. We may suspend or terminate your account immediately for violation of these Terms or for any other reason with reasonable notice. Upon termination, your site will be taken offline and your data will be deleted within 30 days.

13. Governing Law

These Terms are governed by the laws of the State of Idaho, United States, without regard to its conflict-of-law provisions. Any disputes shall be resolved in the courts located in Ada County, Idaho.

14. Changes to These Terms

We may revise these Terms at any time. We will provide at least 14 days' notice via email before material changes take effect. Continued use of the Service after that date constitutes acceptance of the revised Terms.
